Safebuk, Inc. operates the Patricius website and related AI planning, advisory, workflow review, vendor evaluation, and business materials. Patricius is a product and brand of Safebuk, Inc.

These Terms of Service govern your access to and use of the Patricius website and any publicly available pages, forms, communications, reports, recommendations, documents, audits, plans, and related materials made available through it, which we refer to in these Terms as the Site and the Services.

By accessing the Site or using the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

If Patricius provides you with any paid audit, consulting engagement, implementation support, managed service, software access, pilot, or other service under a separate written agreement, statement of work, order form, or invoice, that agreement controls to the extent of any conflict with these Terms.

1. Eligibility and Authority

You may use the Site and Services only if you can form a binding contract with Patricius and your use complies with applicable law.

If you use the Site or Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to you in these Terms include that organization.

2. What the Services Are For

Patricius provides AI planning, advisory, workflow review, vendor evaluation, and business decision-support services.

The Services may include workflow reviews, AI opportunity rankings, tool recommendations, vendor comparisons, rollout plans, ROI scorecards, implementation guidance, and related business materials.

Unless Patricius expressly agrees otherwise in a separate written agreement, the Services:

• are for business planning, operational review, and informational purposes only

• are not legal, tax, accounting, compliance, cybersecurity, employment, financial, medical, or other regulated professional advice

• are not a guarantee that any AI tool, vendor, workflow, integration, automation, or recommendation will produce revenue, savings, efficiency, compliance, or any other result

• do not create an attorney-client, accountant-client, fiduciary, managed IT, cybersecurity, compliance, employment, or other regulated professional relationship

• do not authorize Patricius to act as your IT administrator, security officer, data protection officer, compliance officer, agent, employee, vendor manager, procurement representative, or managed service provider

• do not make Patricius responsible for your use, purchase, configuration, monitoring, or management of any third-party tool or vendor unless separately agreed in writing

You remain solely responsible for your business, operational, technical, legal, compliance, vendor, software, data, security, and financial decisions.

3. AI Plans, Recommendations, and Outputs

The Site and Services may include AI-generated content, analysis, workflow maps, vendor recommendations, ROI estimates, rankings, implementation plans, assumptions, examples, forecasts, checklists, or other outputs.

These materials may be incomplete, simplified, assumption-based, dependent on information you provide, dependent on third-party information, or affected by changing vendor features, pricing, availability, security practices, or terms.

They may contain errors, omissions, outdated information, or recommendations that are not appropriate for your specific business.

Any output, recommendation, estimate, score, ranking, or plan Patricius provides is not a promise, warranty, guarantee, or substitute for your own review, testing, professional advice, and business judgment.

You are responsible for reviewing all recommendations before acting on them.

4. Vendor Recommendations and Third-Party Tools

Patricius may discuss, compare, or recommend third-party AI tools, software platforms, automation tools, CRMs, scheduling tools, communication tools, analytics tools, payment tools, or other vendors.

Patricius does not control third-party vendors and is not responsible for their products, pricing, security, uptime, privacy practices, terms, integrations, data handling, accuracy, performance, or support.

Unless Patricius expressly states otherwise in writing, a recommendation of a vendor does not mean Patricius endorses, guarantees, resells, manages, supervises, or assumes responsibility for that vendor.

You are responsible for reviewing each vendor’s contract, pricing, privacy policy, security practices, data processing terms, support terms, and legal obligations before using that vendor.

Patricius may receive affiliate fees, referral fees, partnership benefits, or other compensation from third parties only if disclosed where required by law or by separate written agreement.

5. No Reliance

You should not rely on the Site, Services, or any materials Patricius provides as the sole basis for making business, technical, software, vendor, legal, compliance, data, security, employment, financial, or operational decisions.

You are responsible for conducting your own diligence and obtaining qualified professional advice where appropriate.

6. User Submissions, Business Information, and Feedback

If you contact Patricius, complete a form, book a call, request an audit, purchase a service, or otherwise submit information or materials to Patricius, you represent and warrant that:

• the information you provide is accurate to your knowledge

• you have the right to provide it

• providing it does not violate any law, confidentiality obligation, privacy right, data protection obligation, contract, or third-party right

• you have obtained any required consents, permissions, or authorizations

Do not send Patricius passwords, login credentials, payment card numbers, bank account numbers, Social Security numbers, protected health information, highly sensitive customer data, employee records, or other sensitive information through public forms or ordinary email unless Patricius specifically requests it through a secure process.

You retain ownership of materials you submit to Patricius. You grant Patricius a limited, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, and use those materials only as reasonably necessary to respond to you, evaluate your request, provide the Site or Services, protect Patricius systems, and improve the Services, subject to the Privacy Policy and any separate written agreement.

If you send Patricius suggestions, ideas, comments, product feedback, or similar input, Patricius may use that feedback without restriction or compensation to you.

7. Privacy

The Patricius Privacy Policy describes how personal information is collected, used, and disclosed in connection with the Site and Services.

By using the Site or Services or submitting information to Patricius, you acknowledge that your personal information may be processed as described in the Privacy Policy.

8. Paid Services, Payment, and Refunds

Some Services may require payment, including AI audits, planning engagements, consulting projects, implementation support, or related services.

Fees, scope, timing, deliverables, and payment terms will be stated on the Site, in an invoice, order form, checkout page, proposal, statement of work, or separate written agreement.

Unless otherwise stated in writing:

• fees are due before work begins

• fees are non-refundable once work has started

• delivery timelines depend on your timely cooperation, accurate information, and access to required materials

• missed calls, delayed responses, incomplete information, or lack of cooperation may delay delivery

Patricius may pause or terminate work if payment is not received

Any taxes, payment processing fees, vendor costs, software subscriptions, third-party fees, or implementation costs are your responsibility unless expressly included in writing.

9. Scope of Services

The AI Noise Audit and similar planning services are designed to produce a decision-support plan.

Unless Patricius expressly agrees otherwise in writing, they do not include:

• buying software on your behalf

• signing vendor contracts

• configuring vendor tools

• creating production automations

• managing IT systems

• migrating data

• providing cybersecurity services

• providing legal, compliance, tax, accounting, or employment advice

• monitoring vendors after delivery

• guaranteeing implementation results

Any implementation, managed rollout, or ongoing support must be agreed separately in writing.

10. Pilots, Beta Features, and Future Products

Any pilot, beta feature, early-access program, software tool, demo environment, or future product access may be limited to selected users and may be changed, restricted, suspended, or discontinued at any time.

Pre-release features may contain bugs, errors, outages, security issues, or incomplete functionality.

Separate written terms may apply to any pilot, product, commercial relationship, customer data handling, or software access.

11. Intellectual Property and Limited License

The Site and all related content, including text, graphics, branding, logos, design, software, interfaces, research materials, workflows, methodologies, analyses, rankings, templates, reports, outputs, documentation, and other materials, are owned by Safebuk, Inc., Patricius, or their licensors and are protected by intellectual property and other laws.

Subject to these Terms, Patricius grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for your internal, lawful business evaluation.

For paid Services, Patricius grants you a limited, non-exclusive, non-transferable right to use the final deliverables provided to you for your internal business purposes.

Except as expressly permitted by law or by prior written consent from Patricius, you may not:

• copy, reproduce, republish, distribute, sell, license, publicly display, or otherwise exploit the Site or its content

• use Patricius materials, methodologies, analyses, rankings, templates, outputs, or deliverables to build, train, improve, benchmark, market, or sell a competing product or service

• modify, adapt, translate, or create derivative works from the Site or its content

• reverse engineer, decompile, disassemble, scrape, extract, or attempt to derive source code, prompts, models, datasets, templates, rankings, or non-public system logic

• remove, obscure, or alter any proprietary notice

• access or use any non-public part of the Site or Patricius systems without authorization

All rights not expressly granted are reserved by Safebuk, Inc. and Patricius.

12. Third-Party Websites, Services, and Data

The Site or Services may contain links to or rely on third-party websites, data sources, software, APIs, AI models, vendors, or services.

Patricius does not control and is not responsible for any third-party content, data, availability, security, outputs, terms, or practices. Patricius does not guarantee the accuracy, completeness, timeliness, usefulness, legality, or safety of third-party materials.

13. Acceptable Use

You agree not to, and not to help others to:

• use the Site or Services in violation of any law, regulation, contractual duty, professional obligation, or third-party right

• interfere with, disrupt, damage, or compromise the Site, Services, or their security

• attempt to gain unauthorized access to any system, data, account, or network

• use automated means to access, scrape, index, monitor, or collect from the Site except as expressly permitted by Patricius in writing

• upload, transmit, or distribute malicious code, spam, or harmful material

• impersonate another person or misrepresent your identity, affiliation, authority, or intent

• submit information you do not have the right to provide

• use the Site or Services in a way that could create legal, regulatory, privacy, data, security, or operational risk for Patricius or others

14. Availability, Changes, and Suspension

Patricius may modify, update, suspend, or discontinue any part of the Site or Services at any time, with or without notice.

Patricius may suspend or terminate your access to the Site or Services if Patricius believes you have violated these Terms, created risk for Patricius or others, failed to pay amounts owed, or if Patricius decides to modify or discontinue the Site or Services.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, SERVICES, DELIVERABLES, CONTENT, OUTPUTS, RECOMMENDATIONS, AND MATERIALS MADE AVAILABLE THROUGH THEM ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFEBUK, INC. AND PATRICIUS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY THAT THE SITE, SERVICES, DELIVERABLES, OUTPUTS, OR RECOMMENDATIONS WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, CURRENT, COMPLETE, OR FREE OF HARMFUL COMPONENTS.

SAFEBUK, INC. AND PATRICIUS DO NOT WARRANT THAT ANY AI TOOL, VENDOR, WORKFLOW, IMPLEMENTATION PLAN, ROI ESTIMATE, OR RECOMMENDATION WILL PRODUCE ANY PARTICULAR RESULT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAFEBUK, INC., PATRICIUS, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, SAVINGS, USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, SERVICES, DELIVERABLES, OUTPUTS, RECOMMENDATIONS, THIRD-PARTY VENDORS, OR ANY CONTENT MADE AVAILABLE THROUGH THEM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF SAFEBUK, INC. AND PATRICIUS ARISING OUT OF OR RELATING TO THE SITE, SERVICES, DELIVERABLES, OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS, US$100, OR THE AMOUNT YOU PAID FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE THREE MONTHS BEFORE THE CLAIM AROSE.

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE CLAIM IS BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND EVEN IF SAFEBUK, INC. OR PATRICIUS HAS BEEN ADVISED OF THE POSSIBILITY OF THE DAMAGES.

17. Indemnification

You agree to defend, indemnify, and hold harmless Safebuk, Inc., Patricius, and their affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• your use of the Site or Services

• your violation of these Terms

• your violation of applicable law or the rights of any other person or entity

• information or materials you submit to Patricius

• your use, purchase, implementation, configuration, or operation of any third-party vendor, AI tool, software, or service

• your business decisions based on any output, recommendation, plan, or deliverable

18. Electronic Communications

You consent to receive notices and communications from Patricius electronically, including by email, through the Site, or by posting updated terms or policies on the Site.

19. Changes to These Terms

Patricius may update these Terms from time to time. If it does, Patricius will post the updated version on this page and update the Effective Date above.

Your continued use of the Site or Services after updated Terms become effective means you accept the updated Terms.

20. Governing Law and Forum

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction and venue of those courts.

21. General

These Terms constitute the entire agreement between you and Safebuk, Inc. regarding the Site and Services unless a separate written agreement applies.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

The failure of Safebuk, Inc. or Patricius to enforce any provision is not a waiver of that provision or any other provision.

You may not assign these Terms without prior written consent from Safebuk, Inc. Safebuk, Inc. may assign these Terms in connection with a merger, financing, reorganization, sale of assets, or similar transaction.

Sections that by their nature should survive termination or expiration will survive, including Sections 3 through 21.
